Welcome to Kolect.AI. These Terms of Service ("Terms") govern your access to and use of the Kolect.AI website, including any content, functionality, and services offered on or through kolect.ai (the "Website") and our mobile application (the "App") (collectively, the "Service").

Please read the Terms carefully before you start to use the Service. By using the Service, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at kolect.ai/privacy, incorporated herein by reference. The Kolect.AI name, the Kolect.AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Panoverse Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of Panoverse Inc. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

5. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate Panoverse Inc., a Panoverse Inc. employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful

6. User Content

The Service may allow you to create, post, store and share content, including messages, text, photos, videos, software, code, data, and other information (collectively, "User Content"). You retain all rights in and to your User Content, as between you and Panoverse Inc.

By creating, posting, or sharing User Content on or through the Service, you grant Panoverse Inc. a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Service.

7. Copyright Infringement

If you believe that any User Content violates your copyright, please notify us in accordance with our Copyright Policy. It is the policy of Panoverse Inc. to terminate the user accounts of repeat infringers.

8. Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Service will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

9. Limitation on Liability

In no event will Panoverse Inc., its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Service, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

10. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of the State of California, United States.

11. Waiver and Severability

No waiver by Panoverse Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Panoverse Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12. Entire Agreement

The Terms and our Privacy Policy constitute the sole and entire agreement between you and Panoverse Inc. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
